Terms of Service

1. Acceptance of Terms
By accessing or using the Uptime Fleet platform ("Service"), operated by Uptime Fleet, Inc. ("Company", "we", "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. We may update these Terms from time to time. Continued use after changes constitutes acceptance.
2. Description of Service
Uptime Fleet provides a technology platform that connects commercial fleet operators ("Fleet Managers") with independent mobile mechanics and roadside service providers ("Service Providers") for on-demand roadside rescue dispatch. The platform includes dispatch management, real-time tracking, digital invoicing, and related tools. Uptime Fleet is a technology intermediary and does not itself perform roadside repair or rescue services.
3. Eligibility and Account Registration
You must be at least 18 years old and have the legal authority to enter into these Terms. When creating an account, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account. Notify us immediately at support@uptimefleetrescue.com if you suspect unauthorized access.
4. Fleet Manager Terms
Fleet Managers may submit breakdown requests, view provider bids, approve dispatches, track jobs, and manage invoices through the platform. You agree to provide accurate vehicle and location data when submitting requests. You are responsible for timely payment of all invoices generated through the Service. Disputed invoices must be raised within 14 days of issuance. Uptime Fleet reserves the right to suspend accounts with overdue balances exceeding 30 days.
5. Service Provider Terms
Service Providers operate as independent contractors, not employees of Uptime Fleet. Providers are solely responsible for the quality, safety, and legality of services rendered. Providers must maintain all required licenses, insurance, and certifications for their jurisdiction. By accepting a job, you commit to arriving within the estimated time and completing work to professional standards. Uptime Fleet may remove providers who repeatedly fail to meet service-level expectations.
6. Payments and Fees
All fees, commissions, and payment terms are disclosed within the platform at the time of transaction. Fleet Managers are invoiced digitally upon job completion. Service Providers receive payouts per the schedule shown in their dashboard, typically within 5 business days of invoice approval. Uptime Fleet may charge a platform fee or commission on each transaction. All amounts are in US dollars unless otherwise stated. You are responsible for any applicable taxes.
7. Cancellations and Refunds
Fleet Managers may cancel a request before a provider is dispatched at no charge. Cancellations after dispatch may be subject to a cancellation fee disclosed at the time of booking. Refund requests must be submitted within 14 days of the disputed charge. Uptime Fleet will review and respond within 10 business days. Refund decisions are made at our sole discretion based on the circumstances of each case.
8. Prohibited Conduct
You agree not to: (a) use the Service for any unlawful purpose; (b) impersonate any person or entity; (c) interfere with or disrupt the Service; (d) attempt to gain unauthorized access to any part of the platform; (e) submit false or misleading information; (f) harass, threaten, or abuse other users; (g) reverse-engineer, decompile, or disassemble any part of the platform; (h) use automated means to access the Service without our written consent.
9. Intellectual Property
All content, trademarks, logos, and software associated with Uptime Fleet are the property of Uptime Fleet, Inc. or its licensors. You may not copy, modify, distribute, or create derivative works without our prior written consent. Your use of the Service does not grant you any ownership rights in our intellectual property.
10. Limitation of Liability
To the maximum extent permitted by law, Uptime Fleet shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to loss of profits, data, or business opportunity. Our total liability for any claim shall not exceed the fees paid by you to Uptime Fleet in the 12 months preceding the claim. Uptime Fleet does not guarantee the quality, timeliness, or outcome of any roadside service performed by providers.
11. Indemnification
You agree to indemnify and hold harmless Uptime Fleet, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
12. Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to the practices described in the Privacy Policy.
13. Termination
We may suspend or terminate your account at any time for any reason, including violation of these Terms. You may close your account by contacting support@uptimefleetrescue.com. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including limitation of liability, indemnification, and intellectual property) shall survive.
14. Dispute Resolution
Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in Travis County, Texas, under the rules of the American Arbitration Association. You waive any right to participate in a class action. Either party may seek injunctive relief in a court of competent jurisdiction to prevent irreparable harm.
15. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict-of-law principles.
